Terms of Business – Performances & Workshops (2026)

1. Introduction

1.1 These Terms set out the basis on which Rogue Opera LLP (“we”, “us”, “our”) will provide performances, workshops and related services (“the Services”).

1.2 Rogue Opera LLP is a Limited Liability Partnership registered in England & Wales. Our registered office is 27 Old Gloucester Street, London, W1CN 3AX.

1.3 These Terms aim to provide clarity and fairness for both parties. If any clause requires clarification, we welcome discussion prior to confirmation of booking.

2. Formation of Contract

2.1 A contract is formed when a written Agreement for Services is signed or confirmed in writing by both parties.

2.2 The Agreement will specify:
• Date(s) and time(s)
• Location
• Nature of performance and/or workshop
• Fee and payment schedule
• Technical and logistical requirements

3. Fees and Payment

3.1 Fees are set out in the Agreement for Services.

3.2 Unless otherwise agreed:
• 25% booking confirmation payment is due upon signing.
• 25% is payable one month prior to the Event.
• The remaining 50% is payable on completion of the event and now later than 14 days following the Event.

3.3 Travel and accommodation (if required) will be agreed in advance and included in the fee unless otherwise stated.

3.4 20% VAT will be applied. Our VAT number is 447 7376 54

4. Venue & Client Responsibilities

4.1 The Client agrees to provide:
• A safe and suitable performance space
• Access to electricity
• Adequate audience supervision and safe access
• Access for set-up and pack-down at agreed times

4.2 The Client retains responsibility for safeguarding and supervision of participants and audience members at all times.

5. Touring & Delivery Arrangements

5.1 The Services will be delivered directly by Rogue Opera LLP and its contractors.

5.2 As a touring company working in varied spaces, minor adjustments to staging, format or technical set-up may be required to suit venue conditions.

5.3 We reserve the right to substitute performers where necessary due to illness, emergency or circumstances beyond our control, while maintaining professional standards.

6. Illness & Cast Change

6.1 In the event of illness or unforeseen circumstances affecting a performer:
• We will use reasonable endeavours to provide a suitable replacement.
• If replacement is not possible, we will seek to reschedule the Event.
• If rescheduling is not possible, our liability shall be limited to refund of fees paid in respect of the affected Event.

7. Force Majeure

7.1 Neither party shall be liable for failure or delay caused by circumstances beyond reasonable control, including but not limited to:
• Severe weather warnings
• Transport disruption
• Government restrictions
• Venue closure
• Illness outbreak
• Acts of God

7.2 In such circumstances, both parties will act reasonably to reschedule where possible.

8. Cancellation by the Client

8.1 Cancellation more than 30 days before the Event:
• The booking confirmation payment (25%) is retained.

8.2 Cancellation less than 30 days before the Event:
• 50% of the total fee becomes payable.

8.3 Cancellation within 14 days of the Event:
• The full fee becomes payable unless rescheduling is agreed.

9. Complaints & Concerns

9.1 We are committed to high standards of artistic and professional delivery.

9.2 Any concerns should be raised promptly to allow us a reasonable opportunity to address and resolve them constructively by contacting us on info@rogueopera.co.uk

10. Liability

10.1 Nothing in this Contract limits or excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

10.2 Subject to clause 10.1, we shall not be liable for:
• Loss of profits
• Loss of business
• Loss of contracts
• Indirect or consequential loss

10.3 Subject to clause 10.1, our total liability arising under or in connection with the Contract shall not exceed 100% of the total fee payable under the Agreement.

10.4 We maintain appropriate Public Liability Insurance. Evidence can be provided upon request.

11. Safeguarding

11.1 Where workshops involve children:
• The Client remains responsible for supervision at all times.
• Our artists will comply with appropriate safeguarding standards.
• DBS certification can be provided where applicable.

12. Intellectual Property

12.1 All performance material remains the intellectual property of Rogue Opera LLP.

12.2 No recording, filming or reproduction of performances is permitted without prior written consent.

12.3 We may use photographs of performances for promotional purposes unless otherwise agreed in writing.

13. Data Protection

13.1 Personal data will be processed in accordance with our Privacy Policy, available on request or at https://rogueopera.co.uk/privacy-policy

14. Governing Law

14.1 These Terms are governed by the law of England & Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
